1. The Role of Bowreed Limited

1.1 Bowreed Limited facilitates bookings by introducing Clients to Performers and administering payments. Bowreed Limited is not an employer, principal, or party to the performance contract.

1.2 The Client engages the Performers through Bowreed Limited, which acts solely as an intermediary to arrange and process the booking. Bowreed Limited facilitates all communication and coordination between the Client and the Performers until the event day. The Client and Performers do not liaise directly prior to the event, and all logistical arrangements are managed by Bowreed Limited. Bowreed Limited does not accept liability for the performance, conduct, or actions of the Performers. Any performance-related obligations, cancellations, or disputes are the responsibility of the Client and the Performers.

2. Confirming the Booking

2.1 A booking is confirmed when both the Client and the Performers accept the terms, either verbally, electronically, or in writing. By confirming a booking, the Client agrees they are entering into a direct engagement with the Performers, with Bowreed Limited acting solely as an intermediary.

2.2 The Client acknowledges that by confirming a booking, they are directly engaging the Performers, with Bowreed Limited acting as an intermediary.

2.3 The fact that the contract has not been physically signed does not invalidate the booking or these terms.

3. Payments

3.1 The Client agrees to pay a non-refundable booking fee to Bowreed Limited within five working days of receiving the invoice. This booking fee forms Bowreed Limited's only revenue from the contract, and covers Bowreed Limited's administrative and coordination services

3.2 The Client must transfer musician fees into a designated holding account, where these funds are held in trust solely for disbursement to the Performers. Bowreed Limited does not at any point take ownership of these funds, and they do not form part of Bowreed Limited’s income or revenue. These funds will be disbursed in full to the musicians after the event.

3.3 The Client must transfer the musician fees into the holding account at least seven days before the event.

3.4 After the event, Bowreed Limited will disburse musician fees in full from the holding account directly to the Performers. These funds remain separate from Bowreed Limited’s income at all times. Any Performer who is also a director or employee of Bowreed Limited will receive their musician fee as part of their payroll arrangement, distinct from business earnings.

3.5 Payments must be made using the exact details provided on each invoice. Payments sent without an invoice reference or to incorrect accounts may be delayed and could incur a £20 administrative charge to cover manual processing and reconciliation costs.

4. Changes to the Booking

4.1 Any changes to the booking (e.g., timings, lineup, fees) must be agreed upon by both the Client and the Performers and communicated to Bowreed Limited in writing.

4.2 The agreed total cost may change if details of the booking are altered.

4.3 Optional extras (e.g. PA hire, disco or DJ services) may be added or removed up to a reasonable point before the event. Scaling back these services does not automatically guarantee a proportional refund or fee reduction, especially where preparations, staffing, or third-party commitments have already been made.

5. Cancellations by Client

5.1 The Client may cancel the booking only in cases of Force Majeure (see Clause 13), provided Bowreed Limited is notified as soon as reasonably practicable.

5.2 If the Client cancels for any other reason, the following cancellation fees apply:

  • If a client cancels at any time after booking, the booking fee is non-refundable as it covers administrative costs and securing the Performers.
  • If they cancel within 30 days of the event, the full balance is due.

5.3 If the Performers secure another booking for the event date, the cancellation fee will be reduced accordingly.

5.4 The Client is responsible for ensuring the venue can accommodate live music. No refunds will be given if the performance cannot take place due to venue restrictions.

6. Cancellations by Performers

6.1 Performers may only cancel due to a Force Majeure event (see Clause 13).

6.2 If a Performer cancels, Bowreed Limited will use reasonable efforts to find a suitable replacement.

6.3 If no suitable replacement is found, the Client will receive a refund of musician fees from the holding account in proportion to the affected Performer’s fee. The booking fee remains non-refundable. If the event goes ahead with a reduced lineup, only the fee for the absent Performer will be refunded.

7. Late Payments

7.1 Failure to pay the booking fee within the specified time may result in automatic cancellation of the booking.

7.2 Failure to pay musician fees into the holding account by the due date may result in interest being charged at 3% above the Bank of England base rate.

8. Performance Conditions

8.1 The Client agrees to provide a safe and appropriate performance space, with access to power and shelter if required.

8.2 The Client must provide one meal per Performer as per industry standard. This can be a hot meal or a buffet meal provided for all suppliers.

8.3 Performers retain control over their sound levels but will reasonably accommodate venue noise restrictions where possible.

9. Complaints & Disputes

9.1 Any disputes regarding the performance must be reported in writing within 30 days of the event.

9.2 Bowreed Limited is not responsible for resolving disputes but will act as a mediator between the Client and the Performers.

9.3 Complaints do not entitle the Client to withhold payment from the Performers.

10. Re-Engagement of Performers

10.1 The Client agrees not to circumvent Bowreed Limited by booking the same Performers directly for future events within 18 months of the event date.

10.2 If a direct booking occurs in breach of this clause, the Client agrees to pay Bowreed Limited a fee equal to the original booking fee.

11. Liability

11.1 Bowreed Limited is not responsible for the actions or performance of the Performers. The Performers are responsible for fulfilling the engagement, and any disputes must be resolved directly between the Client and the Performers.

12. Use of Alternative Performers

12.1 If a Performer is unable to attend due to unforeseen circumstances, a deputy of equivalent skill may be used at no penalty to the Client.

12.2 The Client has the right to reject a proposed deputy, but no refund will be given unless a suitable alternative cannot be found.

13. Force Majeure

13.1 A Force Majeure event includes (but is not limited to) fire, flood, extreme weather, war, terrorism, government action, venue closure, or any event beyond reasonable control.

13.2 In the case of a Force Majeure event:

  • If the Client cancels, they are not liable for musician fees but forfeit the booking fee.
  • If the Performers cancel, all musician fees held in the designated holding account will be refunded to the Client, but the booking fee remains non-refundable. Bowreed Limited is not responsible for refunding musician fees that have already been disbursed.

14. General Provisions

14.1 This contract is governed by English law and subject to the jurisdiction of the courts of England and Wales.

14.2 If any part of this contract is found to be unenforceable, the remaining clauses shall remain in full effect.
